TENNESSEE ECONOMIC DEVELOPMENT COUNCIL BOARD OF DIRECTOR’S MEETING
ECD OFFICES
FEBRUARY 5, 2008

The Meeting was called to order by President Doug Lawyer.  Members participating included Commissioner Matt Kisber, Jennifer Hagan-Dier with ECD, Doug Lawyer, Paul Latture, Walt Wood, Mark Herbison, Mike Evans, Spencer Sessions and David Hamilton.
Kayla Taylor with Younger Associates also participated.

Business Items included the following:

Review of Minutes
The Minutes were distributed from the January 16th Board meeting.  A Motion to Approve by David Hamilton with a second by Spencer Sessions.  The Motion passed unanimously.

Review of Financial Statements
A proposed budget was presented by Paul Latture for 2008, but the budget shows a $23,575 deficit. Doug Lawyer is proposing to create a study group for dues and a finance committee.  The review committee will be led by Don Hurst.

Motion was made by Mike Evans to accept the proposed deficit budget with the creation of a committee to review expenses and revenues.

Domain Name
Kayla gave an update on options for a domain name.   Discussion took place over the four options presented and a motion was made by Mike Evans to accept www.tnedc.com with a second by David Hamilton.  The Motion passed.

New Members
The following individual’s applications were reviewed for membership:
1.  Don Cason, Jefferson County Chamber of Commerce
2.  Becky Bell, Hodge Associates
3.  Brandon Talbert, Regional Alliance for ED
4.  Finley Green, MountainSouth World Trade Ctr
5.  Louis Cortina, Michael Brady, Inc.
6.  Debbie Dietz, Larry Hyatt & Associates

There was a Motion by Don Hurst to approve the New Members Applications with a second by Mark Herbison.  The Motion passed unanimously.

New logo
Logo discussion was presented by Kayla Taylor with Younger Associates and a motion was made by Mark Herbison and a second by Mike Evans to accept the new rectangular logo.  The Motion passed unanimously.

Legislative Agenda
Motion was made by Mark Herbison and a second by Spencer Sessions to allow Doug Lawyer to move forward on a legislative agenda.  Doug will send prepared agenda to Commissioners Kisber, Neeley and Farr.

New Business
Doug discussed some vagueness in the by laws, especially as it relates to total members present.  Dough reformed the bylaws committee that will be led by David Hamilton.
